1. Service Description

AlgoMind is a strategy management and scoring tool for NinjaTrader futures trading. AlgoMind is NOT a trading platform, NOT a Commodity Trading Advisor (CTA), and NOT an investment advisor. AlgoMind:

  • Provides AI-driven strategy performance scoring via third-party APIs
  • Enables and disables pre-existing NinjaTrader strategies based on AI analysis
  • Requires users to operate their own NinjaTrader installations and VPS infrastructure
  • Does not execute trades, manage capital, or make trading decisions on behalf of users

2. Eligibility

By using AlgoMind, you represent and warrant that you:

  • Are at least 18 years of age or the age of majority in your jurisdiction
  • Hold a valid, paid license to NinjaTrader 8
  • Own or control a VPS (Virtual Private Server) or dedicated hardware on which to run NinjaTrader and the AlgoMind AddOn
  • Have the authority to enter into this Agreement and comply with all applicable laws and regulations
  • Are not a resident of a jurisdiction where commodity futures trading or strategy management tools are prohibited

3. Subscription and Payment Terms

AlgoMind pricing is structured as follows:

  • Base subscription: $25 USD per month for the first VPS/installation
  • Additional VPS: $10 USD per month for each additional VPS/installation
  • Billing: Subscriptions renew automatically on a monthly basis
  • Payment method: You authorize payment via Stripe or your selected payment processor

3.1 Auto-Renewal

Your subscription automatically renews on the anniversary of your billing date unless you cancel at least 24 hours prior to renewal. You are responsible for ensuring your payment method remains valid and current. Failure to update expired payment information may result in service suspension.

3.2 Price Changes

AlgoMind reserves the right to modify subscription pricing with a minimum of 30 days' written notice. Continued use of the Service following the effective date of any price increase constitutes your acceptance of the new pricing. If you do not agree to price changes, you may cancel your subscription without penalty during the 30-day notice period.

3.3 Refunds

Subscription fees are non-refundable except as expressly required by law. Partial month fees are non-prorated and non-refundable.

4. Intellectual Property

  • AlgoMind software: All code, algorithms, user interface, documentation, and trademarks associated with AlgoMind are the exclusive property of AlgoMind and protected by copyright and applicable intellectual property laws
  • Your trading data: You retain ownership of your trading strategies, parameters, performance data, and any other data you provide to AlgoMind
  • License grant: AlgoMind grants you a limited, non-exclusive, non-transferable license to use AlgoMind solely for your personal trading purposes during your subscription term
  • Restrictions: You may not reverse-engineer, decompile, modify, adapt, translate, sell, rent, lease, sublicense, or create derivative works based on AlgoMind software

5. Limitation of Liability

AlgoMind is provided on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind.

5.1 Disclaimer of Warranties

ALGOMIND MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AlgoMind does not warrant that the Service will be error-free, uninterrupted, or meet your specific requirements.

5.2 Liability Cap

Your sole and exclusive remedy for dissatisfaction with AlgoMind is to terminate your subscription. AlgoMind's maximum liability shall not exceed the total amount you paid for AlgoMind services in the 12 months immediately preceding the claim, or $100, whichever is greater.

5.3 Trading Losses

AlgoMind assumes NO liability for any trading losses, market losses, opportunity losses, or damages resulting from:

  • Use or misuse of AlgoMind's scoring or strategy recommendations
  • Market volatility, slippage, execution errors, or adverse market movements
  • Decisions to enable, disable, or modify strategies based on AlgoMind scores
  • Third-party platform failures, API outages, or connectivity issues
  • Your VPS, NinjaTrader installation, or network infrastructure failures

5.4 Excluded Damages

IN NO EVENT SHALL ALGOMIND BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Indemnification

You agree to defend, indemnify, and hold harmless AlgoMind and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of AlgoMind
  • Your violation of this Agreement or applicable law
  • Your trading activity, trading losses, or trading decisions
  • Your infringement of third-party intellectual property rights

7. Termination

7.1 Termination by You

You may terminate your subscription at any time by logging into your account and canceling your subscription, or by contacting AlgoMind at support@algomindtraders.ai. Termination is effective at the end of your current billing cycle, unless otherwise specified.

7.2 Termination by AlgoMind

AlgoMind may terminate your subscription and access to the Service at any time for:

  • Material breach of this Agreement that remains uncured for 30 days after written notice
  • Use of AlgoMind for illegal, abusive, or fraudulent purposes
  • Non-payment of subscription fees for 15 or more days
  • Violation of applicable laws or regulations
  • At AlgoMind's sole discretion, with 30 days' written notice and a pro-rata refund of prepaid fees

7.3 Effect of Termination

Upon termination, your access to AlgoMind will be revoked immediately. You will lose access to all strategy scoring, enable/disable functionality, and account data. Continued operation of the AddOn after termination may result in unpredictable behavior. Service fees continue through the end of your billing cycle unless otherwise agreed in writing.

8. Dispute Resolution

8.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under or relating to this Agreement shall be exclusively subject to the jurisdiction and venue of the state and federal courts located in Delaware.

8.2 Mandatory Arbitration

Except for claims seeking injunctive relief or to enforce intellectual property rights, any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration Rules and Procedures. The arbitration shall be conducted in Wilmington, Delaware, by a single neutral arbitrator. Each party shall bear its own attorneys' fees and costs, and the parties shall share the costs of arbitration equally.

8.3 Class Action Waiver

YOU AND ALGOMIND AGREE TO ARBITRATE ON AN INDIVIDUAL BASIS ONLY. You waive your right to participate in any class action, class arbitration, consolidated action, or representative action against AlgoMind. The arbitrator may not consolidate claims or award relief on any basis other than on an individual basis.

8.4 Pre-Arbitration Notice

Before initiating arbitration, you and AlgoMind agree to attempt to resolve disputes informally by providing written notice to the other party describing the nature, basis, and details of the dispute. The parties shall have 30 days from receipt of such notice to attempt resolution. If the dispute cannot be resolved within 30 days, either party may proceed to arbitration.

9. Modifications to This Agreement

AlgoMind reserves the right to modify this Agreement at any time. Material modifications will be effective 30 days after we post the updated Agreement on the AlgoMind website or notify you via email. If you do not agree to the modifications, you must cancel your subscription before the effective date. Continued use of AlgoMind after the effective date of any modification constitutes your acceptance of the modified Agreement.

10. Miscellaneous

10.1 Entire Agreement

This Agreement constitutes the entire agreement between you and AlgoMind regarding the subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral.

10.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

10.3 Waiver

The failure of AlgoMind to enforce any right or provision of this Agreement does not constitute a waiver of such right or provision.

10.4 Assignment

You may not assign or transfer this Agreement or your subscription without AlgoMind's prior written consent. Any attempt to do so is void. AlgoMind may freely assign this Agreement.
